3. Cold pitch email

4. Contract clauses to insist on
- · Deliverables, format, platform, live date and number of revisions (cap at two)
- · Fee, currency (state CAD), HST treatment, and payment terms — net 15 or net 30 with interest on late payment
- · Usage rights: media, territory, duration, and whether paid amplification is included
- · Approval window: brand has 5 business days to review or content is deemed approved
- · Exclusivity: category, duration, and compensation for it
- · Ownership: you retain copyright; the brand receives a licence. Moral rights are not waived except as agreed
- · Kill fee of 50% if the brand cancels after production begins
- · Termination, confidentiality, and governing law of Ontario
5. Invoice template
- · Your legal or registered business name, address, and HST number if registered
- · Invoice number, issue date, due date
- · Line items: deliverables, usage rights, exclusivity, expenses
- · Subtotal, HST at 13% where you are registered and the client is in Ontario, total in CAD
- · Payment methods and late-payment terms
- · Keep every invoice and receipt for six years for CRA purposes
6. Disclosure requirements
- · Disclose the material connection in the content itself — spoken and on screen for video, first line for captions
- · 'Paid partnership' platform tags alone are not always sufficient; add plain-language disclosure
- · Only make claims you have personally verified; the creator can be liable for misleading representations alongside the brand
