Terms of Service

These terms form the agreement between you and SUCH A SOFTY ("we", "us") when you create an account, buy a membership, or download anything from this site. By using the site you accept them.

1. What we provide

We provide self-serve business tooling: a startup questionnaire, a generated roadmap, software recommendations, and a library of document templates including standard operating procedures, operations manuals, HR forms, financial models, marketing playbooks and AI prompt libraries.

We are a publisher of templates and educational material. We are not a law firm, accounting firm, insurance broker, mortgage broker, or registered financial adviser, and nothing on this site is legal, tax, accounting, insurance or investment advice. No lawyer-client, accountant-client or adviser-client relationship is created by using this site.

2. Templates reference Ontario rules but are not compliance guarantees

Our templates are drafted with reference to Ontario and Canadian frameworks such as the Employment Standards Act, the Occupational Health and Safety Act, the Accessibility for Ontarians with Disabilities Act and PIPEDA. Laws change, and your specific circumstances, industry and municipality may impose additional obligations.

You are responsible for reviewing, adapting and completing every document before you rely on it, and for having a qualified professional review anything that carries legal, employment, tax or safety consequences. We do not warrant that any template makes your business compliant.

3. Your account

  • You must be at least 18 years old and legally able to enter a contract.
  • You must provide accurate information and keep your password confidential.
  • You are responsible for all activity under your account.
  • One membership covers one business owner or organisation. Accounts may not be shared between unrelated businesses.

4. Licence to use the templates

While your membership is active, we grant you a limited, non-exclusive, non-transferable, non-sublicensable licence to download our templates and use them inside your own business, including editing them, adding your branding and issuing them to your own staff, contractors and clients as your own operational documents.

You may not:

  • Resell, license, sublicense, syndicate, or redistribute the templates as templates, whether edited or not.
  • Publish them in a competing template library, course, membership, marketplace or bundle.
  • Share your account credentials or bulk-export the library for anyone outside your business.
  • Use our material to train, fine-tune or ground a machine learning model or AI product.
  • Remove or obscure the disclaimers included in the documents.

We retain all intellectual property in the templates, the site, and our branding. Documents you complete with your own business information remain yours. If your membership ends, files you already downloaded remain usable in your business, but your right to download, access updates and receive new material stops.

5. Acceptable use

  • Do not use the site for anything unlawful, fraudulent, deceptive or harmful.
  • Do not scrape, crawl, mirror, or bulk-download the site or attempt to bypass paywalls, rate limits or access controls.
  • Do not probe, attack, overload or interfere with the site, our infrastructure or other members' accounts.
  • Do not reverse engineer the site or attempt to extract source code or database contents.
  • Do not misrepresent our material as professional advice you are qualified to give, or as certified, endorsed or approved by any government body.

We may suspend or terminate an account that breaches these terms, and where the breach is serious or deliberate we may do so without refund.

6. Memberships, billing and price changes

Paid memberships are recurring subscriptions billed monthly in Canadian dollars through our payment processor until cancelled. Where a free trial is offered, the trial length is shown before you confirm the purchase, and the subscription automatically converts to a paid term at the end of the trial unless you cancel first.

Applicable taxes (HST/GST, VAT or sales tax) are calculated at checkout based on your location and shown before you pay. Cancellation, refund and plan-change rules are set out in our Refunds & Cancellation Policy, which forms part of these terms.

We may change our prices or plan contents. Price changes take effect on your next billing period, and we will give you at least 30 days' notice by email so you can cancel first if you prefer.

7. Third-party partners and software recommendations

We recommend third-party software and list partners for services such as banking, insurance, registration, payroll and accounting. Some of those links earn us a commission — see our Disclosures page.

Those companies are independent of us. We do not select products on your behalf, do not assess whether a product suits your circumstances, and are not responsible for their pricing, terms, service, decisions or conduct. Your relationship with them is governed by their own agreements.

8. No guarantee of results

We make no promise about revenue, profit, funding, approval, hiring outcomes, ad performance, growth or business success. Any figures, examples, calculators or projections in our material are illustrative only and depend on inputs and factors outside our control.

9. Service availability

We aim to keep the site available but do not guarantee uninterrupted access. We may modify, suspend or discontinue features, and we may perform maintenance without notice. The site and all material are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy or currency of content — except for warranties that cannot be excluded under applicable consumer protection law.

10. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost business, lost data, regulatory penalties, fines, or costs arising from your use of our templates or reliance on our material.

Our total aggregate liability for all claims relating to the site or your membership is limited to the greater of (a) the amount you paid us in the 12 months before the event giving rise to the claim, or (b) CAD $100.

Nothing in these terms excludes or limits liability that cannot lawfully be excluded, including liability for fraud or for rights you have under Ontario consumer protection legislation.

11. Indemnity

You agree to indemnify and hold us harmless from claims, losses, liabilities and reasonable legal costs arising from your use of the site or the templates, your breach of these terms, or how you applied our material in your business, including any employment, safety, tax or consumer claim brought against you by a third party.

12. Termination

You may cancel at any time from your billing page. We may suspend or terminate access for breach of these terms, non-payment, chargeback abuse, or if we are required to do so by law or by our payment processor. Sections covering intellectual property, disclaimers, limitation of liability, indemnity and governing law survive termination.

13. Changes to these terms

We may update these terms. Material changes will be announced by email or on-site notice before they take effect, and the “last updated” date above will change. Continuing to use the site after changes take effect means you accept the updated terms. If you do not accept them, cancel your membership.

14. Governing law

These terms are governed by the laws of Ontario, Canada and the federal laws of Canada that apply there. The courts of Ontario have non-exclusive jurisdiction over disputes, without limiting your right to bring a claim in your local jurisdiction where consumer law gives you that right.
